About these terms
These terms are an agreement between you and SimpleCold ("SimpleCold", "we", "us") for using simplecold.com, the SimpleCold dashboard, the API and the free tools (together, "the service"). By creating an account, buying credits or using the API, you accept them.
If you use SimpleCold for a company or other organisation, you accept these terms for it and confirm you are allowed to. "You" then means that organisation.
Our privacy policy explains how we handle personal data, and our Data Processing Agreement applies when you give us personal data to process on your behalf.
Your account
- You must be at least 18 and give us accurate details.
- You sign in with a one-time code sent to your email or with Google, so whoever controls that inbox or Google account controls your SimpleCold login. Keep them secure.
- You are responsible for everything done through your account and your API keys, including by people you invite to your organisation.
- Tell us straight away at [email protected] if you think someone has used your account or a key without permission.
The service
SimpleCold checks email addresses and reports a category (deliverable, risky or undeliverable) and a reason for each one. Results reflect what the domain and mail server told us at the time of the check. Mail servers change, some accept every address and some refuse to answer, so we can't promise that an address marked deliverable will accept a particular email, or that one marked undeliverable never will.
When a mail server is slow we may answer processing first and give the final result later. You can ask again about that address without being charged again for 30 minutes.
We work to keep SimpleCold available but don't promise any level of uptime. We may change, add or remove features. If we remove something you pay for in a way that matters, we'll tell you before it happens.
Credits and payment
- You pay for checks with credits. You buy credits in advance, in US dollars, as one-off purchases through Stripe. There is no subscription. The smallest purchase is 5,000 credits, and the price per credit depends on how many you buy, as shown on the pricing page when you buy.
- One credit is used for each unique address checked. This includes addresses whose result is risky because the mail server would not confirm them.
- Duplicate addresses in the same file or request are checked once and charged once. Our test addresses are free. Asking again about an address that came back as processing is free for 30 minutes.
- If a bulk job fails entirely on our side, the credits held for it are returned to your balance.
- Purchased credits don't expire while your account is open.
- Prices are shown without any taxes that may apply to you. You are responsible for those taxes.
- We may change prices for future purchases. Credits you have already bought are not affected.
Refunds
Credit purchases are non-refundable, except where the law requires a refund. If you think you were charged by mistake, or something went wrong with a job, email [email protected] and we will look into it.
Free credits and free tools
- A new organisation gets 200 free credits when it is created. They are for trying SimpleCold. We may refuse them, or the account, for sign-ups from throwaway email domains or for repeated sign-ups made to collect free credits.
- The free tools on this website have daily limits, such as 5 free email checks per day. Don't work around the limits, for example with scripts or by switching networks.
- We may change or end free credits and free tools at any time.
Acceptable use
You may only verify addresses you are allowed to use. In particular, you agree that you will not:
- Use SimpleCold to send, or to prepare, spam or any email that breaks anti-spam or marketing laws (such as CAN-SPAM, the GDPR and ePrivacy rules, CASL or the UK PECR).
- Verify a list unless you have a lawful basis to hold it and to contact the people in it, for example their consent or a legitimate business interest that the law accepts in their country.
- Verify addresses obtained unlawfully, for example by harvesting them from websites against their terms or buying lists their owners never agreed to.
- Upload special categories of personal data (such as health, religion or political views) or data about children.
- Use SimpleCold to harass people, to find out whether a specific person has an account somewhere for an unlawful purpose, or to break anyone's rights.
- Attack, overload or probe mail servers or our systems, get around rate limits or security, or try to reach other customers' data.
- Resell or give others access to the service in a way that hides who is really using it.
The API
- API keys are secret. Don't put them in public code or in web pages, and deactivate or regenerate a key if it leaks.
- The API has rate limits and size limits, for example 50 addresses per batch request and 50 MB per uploaded file. Limits are listed in the API documentation and may change.
- We may change the API. We try to keep existing endpoints working and to announce breaking changes in advance.
- We may suspend a key that is being used in a way that harms the service or breaks these terms.
Your data
- You keep all rights to the lists and data you give us. You give us permission to use them only to provide, secure and support the service for you, as described in the privacy policy and the DPA.
- You confirm you have the right to give us that data and that our processing it on your instructions is lawful.
- We keep a record of verification results by address and may reuse a recent result when the same address is checked again, as explained in the privacy policy. That record does not include who asked or anything else from your file.
- You can download your results files at any time while your account is open, and ask us to delete your data as described in the privacy policy.
Integrations and other services
If you connect another service, such as HubSpot, you authorise us to read the data you choose from it. That service's own terms apply to your use of it, and we aren't responsible for it.
Payments are processed by Stripe, and their terms apply to the payment itself.
Feedback
If you send us ideas or suggestions, we may use them without owing you anything.
Our property
The service, its software, design and the SimpleCold name and logo belong to us. These terms give you a right to use the service, not ownership of it. Don't copy, reverse engineer or build a competing service from it.
Suspension and closing your account
- You can stop using SimpleCold at any time and ask us to close your account.
- We may suspend or close an account that breaks these terms, puts the service or other people at risk, or that we must close by law. Where it is reasonable, we'll warn you first and give you a chance to fix the problem.
- If we close your account because you broke these terms, unused credits are forfeited.
- If we decide to stop offering SimpleCold, we will tell you in advance so you can download your results.
Disclaimers
Except for what these terms say, the service is provided as is and as available. To the extent the law allows, we disclaim all other warranties, including fitness for a particular purpose, and any promise that the service will be uninterrupted or error-free or that results will always be accurate.
Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, or for lost profits, revenue, data or goodwill, or for damage to your sending reputation, arising from your use of SimpleCold.
To the extent the law allows, our total liability for all claims relating to the service is limited to the amount you paid us in the 12 months before the event that caused the claim.
Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.
Your responsibility for your use
You will cover our reasonable costs and losses if a third party makes a claim against us because of the lists you gave us, the email you send, or your breaking these terms or the law.
Changes to these terms
We may update these terms. We change the date at the top when we do. For changes that matter, we email account owners before they take effect. If you keep using SimpleCold after that, the new terms apply; if you don't agree, stop using the service and ask us to close your account.
Disputes
If something goes wrong, email [email protected] first; most problems can be sorted out quickly. Nothing in these terms takes away rights you have under the consumer protection laws of the country where you live.
General
- If part of these terms can't be enforced, the rest still applies.
- If we don't enforce a right straight away, we haven't given it up.
- You can't transfer your account or these terms without our agreement. We may transfer them as part of a sale or reorganisation of the business.
- These terms, the privacy policy and, where it applies, the DPA are the whole agreement between us about the service.
